Force majeure

A clause excusing failures caused by events beyond a party's reasonable control. Clause 16.1 never excuses unpaid Fees, or a failure the Disaster Recovery Plan would have prevented. If such an event stops the app for more than 30 days in a row, Tressick may end the Agreement at once. Agreement 16.1 · Chapter 6 · see Disaster Recovery Plan

Explained in Chapter 6, Service Levels, Service Credits and Support, of White Label SaaS.

The main page for this term is Force majeure, in Distribution Agreements.

How it comes up, in Chapter 6
Two more rules sit elsewhere in the Agreement. Under clause 5.4, Larchpay keeps the app up to date with each change in payroll law and each new tax year, at no extra charge. Clause 16.1 is the force majeure clause, which excuses failures caused by events beyond a party's reasonable control. It never excuses a failure that Larchpay's Disaster Recovery Plan, properly followed, would have prevented.
