The short version: Solon Press is an informal library of training workbooks written by practitioners for colleagues. The flagship M&A edition is free in full and every edition opens with a free first chapter; the other editions are offered for a one-time fee. It is not a law school, not a licensed education provider, and absolutely not legal advice. The long version follows.

Solon Press (the “Site”) is an educational resource published and operated by Simple Digital Partners Ltd, a company incorporated in the Republic of Cyprus (the “Operator”, “we”, “us”). The Site publishes interactive training workbooks (each an “edition”) for practising lawyers and other professionals. By using the Site — reading its editions, taking its tests, or downloading any of its materials — you accept these terms. If you do not accept them, please do not use the Site. The Operator is not a licensed or accredited educational institution in any jurisdiction. The Site and its editions:
Nothing on this Site is, or is intended to be, legal, financial, tax or other professional advice, and nothing on it creates a lawyer–client or other professional relationship between you and the Operator or any author. The content is general educational commentary, deliberately simplified for learners. Real matters turn on their own facts, documents and jurisdictions. Do not rely on this Site in connection with any actual transaction, dispute or decision. Always seek advice from a qualified professional instructed on the specific matter.
Care has been taken in preparing the materials, but the Operator does not claim comprehensive, complete or current knowledge of any area of law or practice, and makes no representation, warranty or guarantee — express or implied — as to the accuracy, completeness, currency or fitness for any purpose of anything on the Site. In particular: the content is a deliberate simplification; it is oriented mainly to the law of England and Wales (with incidental references to EU and other regimes) as generally understood at the time of writing; law and market practice change and the Site may not be updated; statements about “market practice” are generalisations on which reasonable practitioners differ; and the Site may contain errors. Treat everything here as a starting point for learning, never as an authority to cite.
The deals, companies, people, documents, regulator communications and fact patterns used in the editions — including Project Sunrise, its Share Purchase Agreement and its facility agreement — are entirely fictional and exist for teaching purposes only. Any resemblance to real persons, companies or transactions is coincidental. The training documents are deliberately simplified specimens: they are not precedents or templates and must not be used, in whole or in part, in any real transaction. The training documents follow familiar market architectures but are original simplified texts written for this Site; the Site is not affiliated with, or endorsed by, any trade association or standards body whose market practices its editions describe.
The content of the Site (text, illustrations, diagrams, training documents, tests and design) is © Simple Digital Partners Ltd, unless otherwise indicated. You may use the Site for personal, non-commercial education and internal training, including sharing it within your team. You may not sell, license, republish or present the materials as your own, or use them to provide commercial training, without the Operator's prior written permission.
The flagship M&A edition is free in full, and the first chapter of every edition is free to read. Where an edition is offered for a one-time fee, the price and what it buys are stated on the Site before you pay. Payments are processed by Paddle, acting as merchant of record: Paddle is the seller of the edition for payment purposes, collects the price, applies any VAT or sales tax, and issues your receipt, and its buyer terms apply to the payment transaction. Your payment details go to Paddle and never reach the Operator. A purchase buys a personal, non-transferable right to access the edition through the Site for as long as the Site operates — the licence in section 6 continues to apply, and a purchase does not make the materials precedents, templates or advice. Refunds are governed by our Refund Policy: in short, 14 days, no interrogation. Nothing in this section limits any non-waivable right you have under applicable consumer protection law.

To the fullest extent permitted by applicable law, the Operator excludes all liability for any loss or damage of any kind — direct, indirect or consequential, including loss of profit, business or reputation — arising out of or in connection with the use of, reliance on, or inability to use the Site or its content, whether in contract, tort (including negligence) or otherwise. Except for any edition you have paid for, the Site is provided free of charge and “as is”. A paid edition must match its description on the Site; beyond that it too is provided “as is”, and the Operator's total liability in connection with a paid edition is limited to the amount you paid for it. Nothing in these terms excludes or limits any liability that cannot be excluded or limited by applicable law, or any non-waivable consumer right.
The Operator may amend the Site or these terms at any time without notice. The version of these terms published on the Site at the time of your use applies to that use; a change to payment terms will not apply retroactively to a purchase already made, and an amendment will not remove your access to a paid edition you have already purchased except as provided in the Refund Policy.
These terms, and any non-contractual obligations arising out of them or the use of the Site, are governed by the law of the Republic of Cyprus, and the courts of the Republic of Cyprus have exclusive jurisdiction over any dispute relating to them.
