Disclosure letter

A letter from the warrantors listing the facts that qualify the warranties. A matter counts only if the letter describes it and names the warranty it qualifies. Attaching a document is not enough. Clause 8.3 · Chapter 10

Explained in Chapter 10, Warranties, Disclosure and Completion, of Venture Deals.

The main page for this term is Disclosure letter, in Legal Due Diligence.

How it comes up, in Chapter 10
Warranties are written as absolute statements, and they are rarely true exactly as written. The disclosure letter deals with that. The warrantors send it to the investors at completion, and it lists the facts that qualify each warranty. An investor cannot claim for a matter fairly disclosed in it.
