Deed of adherence

A deed by which a new shareholder joins the existing shareholders’ agreement in a stated role. At Solaris no transfer to a newcomer is registered until the deed is delivered. Appendix 5 · Chapter 14

Explained in Chapter 14, Transfers, Tag and Drag, of Venture Deals.

Also explained in Shareholders' Agreements.

How it comes up, in Chapter 14
However a share moves, the newcomer must first sign up to the existing bargain. Article 11.3 and clause 19.3 forbid registering a transfer to a newcomer until it has signed a deed of adherence. The form is in Appendix 5, and a permitted transfer needs one too.
