Entire agreement clause

A clause saying the signed contract is the whole deal. It replaces the drafts, the term sheet and earlier talks, so nobody can add terms from them. A claim for fraud stays open. Agreement, clause 16.1 · Chapter 8 · see Boilerplate

Explained in Chapter 8, Boilerplate Clauses: Entire Agreement and Notices, of Drafting Skills.

Also explained in M&A Foundations and English Law Basics.

Chapter 1 and this glossary are open to everyone; the whole edition is free to read with a free account until 31 January, and it stays open to an account opened by then.
