Module 4 · Chapter 8
Boilerplate Clauses: Entire Agreement and Notices
The clauses at the back of a contract look standard, so people paste them in. This chapter shows what each one does, and how a notice sent to the wrong place can still count.
In this chapter
- How a notice sent to the bakery’s old address could have cost it a way out
- When a notice counts as received, even if nobody reads it
- What the other clauses at the back do, and why the bakery wants each one
8.1Boilerplate in one paragraph
Boilerplate is the set of clauses at the back of a contract that appear in almost every deal. They say how to send a notice, how to change the contract, who can enforce it and which law applies. Because they look standard, people paste them in from a precedent without reading them. In the Agreement they are clauses 16 to 22.
Key point
Boilerplate still has to fit the deal. Check each clause against how these two companies will really work together.
Also in this chapter
