B Consent

Written consent, given before the company acts, by the holders of most of the B Shares, in practice Aldous & Wren. Every reserved matter needs it, together with A Consent. A board minute saying the B Directors agreed is not B Consent. Definition: B Consent · Clause 5.1 · Chapter 4

Explained in Chapter 4, Reserved Matters, of Shareholders' Agreements.

How it comes up, in Chapter 4
A Consent is the prior written consent of the holders of a majority of the A Shares. B Consent is the same for the B Shares (the definitions). Ferris holds all the A Shares and A&W all the B Shares, so the company needs a written yes from each. Prior means before the company acts, and written means a letter or an email, not a nod across the table.
