Buying Commercial Property · glossary

Vacant possession

A sale of a building empty, with nobody inside and nobody holding a right from the seller to occupy it. Clause 2.3 tests the promise on completion. It protects the buyer against occupiers' rights, which the register does not show. Contract 2.3 · Chapter 1 · Chapter 3

Explained in Chapter 1, What a Property Deal Is, of Buying Commercial Property.

How it comes up, in Chapter 1
Fellgate needs to move in on the day it pays. So Holmfield sells with vacant possession, which means the building is empty and nobody has a right to be there.
