Restrictive covenant

A limit on what an employee may do for a time after leaving. Esme’s Contract calls its four “the restrictions”: the non-compete and the non-solicitation, non-dealing and non-poaching clauses. A court enforces one only if it protects a legitimate interest and goes no further than needed. Contract 23 · Chapter 8 · see Legitimate interest, Severability clause

Explained in Chapter 8, Restrictive Covenants: Non-Compete, Non-Solicitation and Non-Dealing, of Employment Contracts.

Also explained in Legal Due Diligence, M&A Foundations and Shareholders' Agreements.

Chapter 1 and this glossary are open to everyone; the whole edition is free to read with a free account until 31 January, and it stays open to an account opened by then.
