Written Resolution

A resolution signed by holders of at least 75 per cent of all the Notes outstanding, with no meeting. It counts as an Extraordinary Resolution and binds every holder. Holders who stay silent count against it, so the bar is higher than at a meeting. Condition 12.3 · Chapter 6 · see Extraordinary Resolution

Explained in Chapter 6, Fiscal Agent or Trustee, and Noteholder Meetings, of Debt Capital Markets.

How it comes up, in Chapter 6
A Written Resolution needs the signatures of holders of at least 75 per cent of all the Notes outstanding. Silent holders count against it, so the bar is higher than at a meeting. While the global note is held for the clearing systems, holders can instead consent electronically through their accounts, with the same 75 per cent. Either way, the result binds every holder.
