Module 2 · Chapter 6
Fiscal Agent or Trustee, and Noteholder Meetings
Nobody negotiates for the holders of this bond. Here is who pays them, what protects them if the global note fails, and how they vote to change the terms.
In this chapter
- Who pays the holders, and whose side that bank is on
- Why this bond has no trustee, and what that costs holders
- How holders vote to change the terms, at a meeting or in writing
6.1Who acts for holders, in one paragraph
Valkenrade pays every holder through one bank, the Fiscal Agent, which works for Valkenrade and not for the holders. Many bonds also have a trustee, which acts for all holders together. This bond has none, so each holder looks after itself. Any change to the terms needs a vote of holders, and a large enough majority binds them all.
Key point
No one acts for the holders as a group. Each holder enforces alone, and any real change to the terms needs a vote of holders.
Also in this chapter
- What the Fiscal Agent does
- Why the Notes have a fiscal agent, not a trustee
- If the global note is not paid: the Deed of Covenant
- How a meeting of holders changes the terms
