Share premium

The amount paid for a share above its nominal value. Ferris and Aldous & Wren paid £100 for each £1 share, so £99 of each is premium. The share premium account is £8,910,000. Clause 3.1 · Schedule 1, paragraph 2 · Chapter 2

Explained in Chapter 2, Shares, Classes and the Register, of Shareholders' Agreements.

Also explained in Venture Deals.

How it comes up, in Chapter 2
Clause 1.2(b) fixes this for the whole agreement. A price per Share "is the amount paid or payable for it, not its nominal value of £1". So each £100 that Ferris paid is £1 of nominal value and £99 of share premium (the amount paid above nominal value).
