M&A Foundations · glossary
The buyer's structured investigation of the target — legal, financial, tax, regulatory, commercial — before it commits. Each finding becomes a price adjustment, a condition, a warranty, an indemnity or a reason to walk away. Chapter 7
Explained in Chapter 7, Due Diligence, of M&A Foundations.
Roughly: the seller prepares and quietly markets the business; the parties agree outline terms on a term sheet; the buyer investigates in due diligence while the lawyers negotiate the SPA; the parties sign; any regulatory approvals are obtained; and the deal completes — shares and money change hands. Each stage gets its own chapter.Read Chapter 1, What M&A Actually Is →
