Knowledge warranty

A promise limited to what the giver knew. In clause 11.2 Kelderwick IP promises that, as far as it knew at completion, using the IP as the Licence allows infringes nobody else's rights. A rival right it did not know of is no breach. Licence 11.2 · Chapter 9 · see As-is clause

Explained in Chapter 9, Money, Warranties and Liability, of IP Licensing.

How it comes up, in Chapter 9
This is a knowledge warranty: a promise limited to what the giver knew. Kelderwick IP breaks it only if, at completion, it knew of a rival right or of a claim. Suppose another company later shows that the logo copies an older mark it owns. If Kelderwick IP did not know, the warranty is not broken.
