Subject to contract and subject to lease

Words on every offer, email and paper about a letting until completion. They mean nobody is bound yet: either side can walk away or change the terms and owe the other nothing. Nothing binds until the lease and the counterpart are exchanged. Chapter 1 · see Heads of terms

Explained in Chapter 1, What a Lease Is, of Commercial Leases.

How it comes up, in Chapter 1
The offer is marked subject to contract and subject to lease. That means nobody is bound until the lease itself is signed and exchanged. Either side can still walk away or change the terms, and owe the other nothing.
