Corporate Governance · glossary

Executive director

A director who also works in the business. Margaret Holroyd, the chief executive, and Daniel Okoro, the chief financial officer, are Brackenholme's two. An executive director sits on no committee, because she would be checking her own work. Charter §1.2 · Charter §6.2 · Chapter 1

Explained in Chapter 1, What a Board Is For, of Corporate Governance.

How it comes up, in Chapter 1
The layers are not the people. Margaret sits in all three, as a shareholder, a director and the chief executive. A director who also works in the business, like Margaret and the chief financial officer, is an executive director. A non-executive director has no job in the company.
