Legal Due Diligence · glossary

Red-flag report

A diligence report that covers only findings that could affect the price, need protection or action, or delay the deal. It says nothing about what is fine, so its silence reads as “checked”. It is the usual choice in private deals, and Sunrise used one. Report §1.1 · Chapter 1 · Chapter 3

Explained in Chapter 1, What Due Diligence Is For, of Legal Due Diligence.

Also explained in M&A Foundations.

How it comes up, in Chapter 1
The Sunrise report is a red-flag report, and it says so in its first paragraph. The other kind, a full-scope report, describes each area in detail. Some lenders and regulators still ask for one, but deal teams usually want decisions rather than description.
