Module 1 · Chapter 2
The Grant: Rebrand and Resell
The grant says what the partner may sell, to whom and under whose brand. The software, and everything built for the deal, stays with the company that makes it.
In this chapter
- What Tressick may do with the app, and where its right stops
- Why Larchpay keeps selling its own app to anyone
- Who owns the code, the brand and the payroll data
2.1The grant in one paragraph
The grant is the clause that gives one side rights in the other's product. Clause 2.1 of the Agreement lets Tressick sell Larchpay's payroll app to small employers as Tressick Payroll. Larchpay hosts the app, keeps the software and keeps selling it under its own name. Clause 9 then says who owns the software and everything built for the deal.
Key point
Tressick gets a right to sell the app, not the software. The code, every improvement made for Tressick and every right not given away stay with Larchpay.
