Module 3 · Chapter 6
Improvements
A factory that works from licensed know-how will improve on it. The licence must say who owns each change, what the owner of the know-how gets back, and when it must be told.
In this chapter
- Who owns a change the factory makes to a pump
- What Kelderwick IP gets back, and when it must be told
- Why Kelderwick keeps its own improvements to itself
6.1Improvements in one paragraph
Engineers improve things all the time. In the Licence, an Improvement is a change to a pump, or to the way it is made, that the Sheffield company develops from Kelderwick's know-how during the Term. Clause 6 settles who owns each one, and what the owner of the know-how gets back.
Key point
The licensee owns what its engineers make. The licensor gets a licence to use each change, and a written description of it, but owns none of it.
Also in this chapter
- Who owns an improvement
- Telling Kelderwick IP about each improvement
- What Kelderwick keeps to itself
- Your job
