Finance Deals & Syndicated Lending

A plain-English workbook on how companies borrow serious money — syndicated loans on the market-standard architecture used across the European loan market, from mandate letter to drawdown. Built around one fictional financing: the €40 million facility with which Atlas Payments Group plc, a London-listed payments group, funds its €42 million purchase of an Irish rival — the deal its team calls Project Sunrise — documented in a complete training facility agreement you can read alongside every chapter.

Chapter 1 is free to read now — the taster. The full edition unlocks the other thirteen chapters, the complete facility agreement, and the 40-question final exam.

How this workbook works

01

Read

Each chapter explains one part of a financing in plain English — no assumed knowledge, every term defined the first time it appears. The acquisition this loan pays for is the subject of our M&A edition; nothing here depends on having read it.

02

See it in a real document

Concepts are anchored to specific clauses of the Sunrise facility agreement — an original training document built on the architecture every English-law loan lawyer works with.

03

Test yourself

Every chapter ends with a 10-question test (pass mark 8). Finish with a 40-question final exam. Your progress is saved to your Solon profile, alongside your other editions.

The case study: financing Project Sunrise

Atlas Payments Group plc, a London-listed payments group, has agreed to buy Solaris Digital Assets Europe Ltd, an Irish crypto-asset firm, for €42 million. This workbook is about where the money comes from. (The acquisition itself is the subject of our M&A edition — you do not need to have read it.)

The Sunrise facility: a three-bank syndicate lends Atlas €40 million under one English-law agreement — certain funds for the acquisition, a revolver for working capital.

Because the loan exists to pay for an acquisition signed but not yet completed, the agreement is built for that job: certain funds drawstop protections, conditions precedent tied to the share purchase agreement (the SPA), financial covenants, and a syndicate that needs rules for acting together. The full facility agreement is on this site, and chapters link straight into its clauses.
