2.1A contract’s structure in one paragraph

Every business contract is built in the same order. It names the parties (the companies it binds) and says in a few lines why they are making the deal. Then come the promises, and last the detail.

Readers know this order, so they find each point fast. You built version 1 in this shape, starting from the firm’s precedent.

Key point

Each part of a contract has one job. Put each point in the part built for it, and both sides will find it there.

Also in this chapter

  1. The order of a contract, from title to signature
  2. Exact names from the register
  3. What recitals and schedules are for
  4. Your job
