Module 2 · Chapter 3
The Terms and Conditions: Status, Interest, Payments and Tax
The terms of a bond are the contract between the company and every holder. The first ones say where holders rank, what interest they earn, when they are paid and who bears tax.
In this chapter
- How one set of terms reaches every holder
- Where holders rank, and what interest they earn and when
- Why Valkenrade bears any tax withheld from the payments
3.1The Conditions in one paragraph
The Conditions are the terms of the Notes: the contract between Valkenrade and every holder. Your firm drafts them, and the Prospectus prints them in full. The first ones say where holders rank among Valkenrade’s creditors, fix the interest and say when it is paid. They also make Valkenrade bear any Dutch tax on the payments.
Key point
Every holder buys on the Conditions as printed. So each date and sum must be right before the issue.
Also in this chapter
- How one set of terms reaches every holder
- Where holders rank: the status clause
- Interest at a fixed 4 per cent
- Payment dates and Business Days
- Tax: the gross-up and its price
- What a holder receives, and when
- Your job
